In no event will any EACdirectory party be liable for any damages, including without limitation any indirect, consequential, special, incidental, or punitive damages arising out of, based on, or resulting from this agreement or your use of the EACdirectory website, even if such EACdirectory party has been advised of the possibility of such damages The exclusion of damages under this section is independent of your exclusive remedy and survives in the event such remedy fails of its essential purpose or is otherwise deemed unenforceable. If you are dissatisfied with our terms/services, or do not agree with any part of this agreement, or you have any other dispute or claim with or against any EACdirectory with respect to this agreement or the EACdirectory services, then your sole and exclusive remedy is to discontinue using the EACdirectory services.

Promotional prices is for clients who place an order and make payments by themselves, using promo codes that shall be made available from time to time. If you are on a reseller group, You shall not use any promo code ( since you are already paying below retail prices) 2. The domains CANNOT be transferred away untiL after 2 years. This is to prevent registrars abusing our offers since we sell below wholesale price. If you have to transfer away then you have to make FULL retail price payment (Pay the difference between the current price and invoice price)

While every attempt will be made to register the domains ordered for by our customers, we shall not take responsibility when they are registered by other parties before we do so. These are offline processes takes from 24 to 36 hours.

Upon expiry, a .Africa domain name enters the redemption period during which time, the domain name can be renewed at an additional penalty of Ksh. 2,200. But if payment is not made 30 days after the expiry, the domain is automatically deleted and made available for new registration.

The domain name will then go into Redemption Grace Period generally (provided there is no backorder for this domain name). In this status you would get another chance to redeem it. Domain registration and web hosting are two separate services. Hosting accounts do not include domain registration unless otherwise noted.Online payments are through MPESA, 2checkout.com and Paypal.com, who shall process and hold payment until the service is provided. Kenic reserves the right to refuse to register a domain without giving any reasons whatsoever. All domains transfered to EACdirectory shall not have Registrant details changed, unless you own the domain name. If a domain is transfered and you are not the owner of the domain then EACdirectory shall be notified in writing 3 days prior to any changes.(except nameserver changes)

WHOIS Scripts are prone to errors since their parameters can be changed by registries (.ke, ug, tz e.t,c) hence we shall not take responsibility if a our system shows that it is available, paid for but registration proves unsuccessful Privacy Protect : This is an annual charge, fully automated and the dates are sync with the dates of domain. It is good practice to buy both at the same time. There is no prorated charge for this service, therefore it has to be paid for in full, irregardless of when the domain was registered

You will not use our products and services to Send Bulk Emails and Spam other users . EACdirectory provides limited web space to store files and other data. This limit is set by your account size. If an account is found to be using more than their allocated web space, the account holder will be contacted and required to, at their option, reduce their used space or upgrade their account. EACdirectory reserves the right to cancel or suspend any account for which web space usage cannot be negotiated in a reasonable (as defined by EACdirectory) period of time. You shall also not use your web hosting account for archiving files or as a backup service.Please note that log files, email and database size(s) are included in your overall allowed web space, if any of these are the cause of the overage, EACdirectory will be happy to assist in deleting or otherwise reducing the overall usage of your account.Unlimited Hosting has been found to be impractical and Discontinued effective April 2014 . Therefore all clients on unlimited hosting have been allocated 15 gb disk space. You are required to delete emails or be migrated to a VPS/Dedicated Server.

14. VPS and Dedicated Servers CPU, Bandwidth and Disk Usage Dedicated and VPS usage is limited by the resources allocated to the specific plan that you have purchased. These can be viewed in your control panel or from your payment invoice Back Up Copy EAC directory highly recommends that all customers retain up to date backup copies of their data off site for disaster recovery purposes. EAC directory provides complementary backup services for our VPS customers. These snap shots are taken every other day and stored for approximately 7 days. Customer agrees to maintain a current copy of all content hosted by EAC directory notwithstanding any agreement by EAC directory to provide back up services. Customer acknowledges that any backups provided by or for EAC directory services are a courtesy service intended for disaster recovery only and that EAC directory does not warrant or guarantee the availability, integrity, content or operability of these backups. Your server may not: 1. Exceed a 15 minute load average greater than two (2) times the amount of CPU cores given. 2. Run public IRCd's or malicious bots. 3. Run any type of BitTorrent client or tracker that links to or downloads illegal content. 4. Use an Open/Public proxy, or utilize a proxy to access illegal/malicious content. 5. Use I/O intensive applications which adversely affect normal server operations.

EACdirectory backs up all server configurations on a regular basis, however, this does not extend to backups of account web data or email. We encourage all customers to back up their web sites and databases on a regular basis, and can assist in setting up regular backup plans. EACdirectory, will provide help and assistance, where it can, to recover any lost data (within 24 hr window), but accepts no responsibility or liability for any permanent or temporary data loss. Customers who have exceeded their inode limits will NOT have their services backed up. You agree NOT to use the Hosting space as a storage for zipped backups files. Such content may be removed without prior warning.

To maintain server performance, EACdirectory may, from time to time, delete any log files or temporary data from its servers. There is no set time period in which this process will take place.Customers are advised to make copies of any log or temporary files they wish to retain. EACdirectory accepts no responsibility or liability for loss of log or temporary files.

As the need arises, EACdirectory will upgrade the overall bandwidth available to accommodate the growing needs of our users. However, if any site or account produces abnormal (as decided by EACdirectory) amounts of web site, email or any other traffic, EACdirectory will take action to throttle or disable access.If an account is found to be using excessive bandwidth, the account holder will be contacted, and required to (at the discretion of EACdirectory) either upgrade their account or pay a bandwidth usage charge as per the pricing scheme on the EACdirectory web site. EACdirectory reserves the right to cancel or suspend any account for which bandwidth usage cannot be negotiated in a reasonable (as defined by EACdirectory) period of time.We guarantee an up time of up to 99%.

It has been the goal of EACdirectory since its founding to provide top-quality customer support and satisfaction. On our shared Corporate hosting servers We offer a variety of disk size allocation i.e 20Gb -Unlimited Space, However, We have a soft limit of 10Gb allowed combined storage limit for both emails and website files. For server optimization we recommend clients to ALWAYS backup their cPanel emails on their local computers using mail client tools such as Outlook and always retain the total disk usage at less than 10Gb at all instances. Any Shared Hosting account that uses more than 10 GB of disk space or contains more than 200,000 Inodes ( file usage ) will be removed from our weekly system backup. Any user whose hosting account is using more than 10 GB of disk space or contains more than 200,000 Inodes ( file usage ) is solely responsible for maintaining the copy of his/her account.

If you are in kenya, we advise you to make payment in cash, cheque or MPESA paybill. Credit card / Debit card or Paypal is high due to currency fluctuations and Merchant transaction Fees. It is your responsibility to check on the amount charged at checkout point

When the system sends a receipt, it only acknowledges receipt of payment, and not delivery of the service. If service is not delivered, we shall issue a refund.

EACdirectory does not participate in bidding for bids that are less than Kes 100K. We also do not accept LPOs. All our products are prepaid

Resellers and third parties are an integral part of our business. Responsibilities of resellers are: All resellers are to register the domains under the client’s name, but they can be administrative, billing, and/ or technical contacts for the domains but the registrant details MUST be the clients. Domains registered and managed on behalf of the client belong to the client It is your responsibility to ensure that the client’s services are up and running so that they do not contact the registry (Kenic) or registrar (EACdirectory) When your client complains to the registry or registrar, we have a right to help them ensure that their businesses continue operations. This includes changing name servers ( so that their emails and websites continue to operate). This will be after they show proof of ownership of the domains. A proof will be in the form of a certificate of incorporation, Invoices, and receipts from your organization e.t.c You must be reachable via both phone and email ( and you must respond to our emails within 48hrs if we attempt to reach you) Resellers and third parties that engaged by EACdirectory to carry out gigs (e.g. Software testing, logo design, website design e.t.c) shall be deemed to be independent contractors All resellers / third parties shall hereby agree NOT to misrepresent that they are Employees of EACdirectory In some cases, third parties may be granted access to company email addresses and other resources to ensure control and professionalism. This shall not be construed to imply that one is an employee of EACdirectory One must be given an Employment contract so as to be considered as an Employee We reserve the right to make decisions that will ensure client continued business operations. All decisions that are taken by the registry or registrar about clients’ domain is final. In the event that you decide to take legal action, you shall enjoin the client in the suit

In the event that a domain has a dispute, the following shall appy For .ke domains ( .co.ke, e.t.c) the ALTERNATIVE DOMAIN NAME DISPUTE RESOLUTION POLICY shall apply. See For other domain extensions that are .ke, we suggest that you get legal advise

EACdirectory may terminate this Agreement, or terminate or suspend your access to the EACdirectory Website at any time, with or without cause, with or without notice. Upon such termination or suspension, your right to use the EACdirectory Website will immediately cease. Hosting Accounts (Emails and websites) will be terminated (contents deleted) 20 days after expiry of the domain or hosting. Upon such termination any information you have stored on the EACdirectory Servers will not be retrieved later. This shall apply to data on addon domains and sub domains if the primary/main hosting account is not renewed. It is your responsibility to check and confirm that the addon domains and its contents are backed up and transferred before you terminate the account or cancel it. *For Corporate Linux Shared Hosting accounts, termination occurs 17 days after expiry N/B Once a .africa domain expires, it goes to redemption period the same day.
